The Emerald Cottage Photographer Referral Program Agreement

This agreement (“Agreement”) is made and entered into as of the date of acceptance by the participating photographer (“Affiliate”) and governs the terms of participation in The Emerald Cottage Photographer Referral Program (“Program”).

1. Parties Involved

  • The Emerald Cottage (“Venue”): Located in Brainerd, MN, the Venue specializes in intimate, nature-inspired weddings.
  • Affiliate: A professional wedding photographer agreeing to participate in the Program.

2. Purpose

The purpose of this Agreement is to establish a mutually beneficial partnership whereby the Affiliate refers engaged couples to book their weddings at the Venue in exchange for monetary compensation.

3. Program Details

3.1 Referral Fee

  • The Venue agrees to pay the Affiliate $300 for every referred couple that books a wedding and fulfills the following criteria:
    1. The couple mentions the Affiliate’s referral at the time of inquiry or booking.
    2. The couple completes their booking by signing a contract and paying the required deposit.

3.2 Bonus Incentive

  • Affiliates who refer 5 completed bookings within a calendar year are eligible for an additional $500 bonus.

3.3 Payment Schedule

  • Referral fees will be paid within 30 days of the couple’s wedding date to account for cancellations or reschedules.
  • Payments will be issued via [check/PayPal/bank transfer]. The Affiliate must provide accurate payment details.

4. Affiliate Responsibilities

4.1 Promotion

  • The Affiliate agrees to promote the Venue to their clients in good faith and with accurate information.
  • The Venue will provide marketing materials such as brochures, social media templates, and referral codes or links.

4.2 Eligibility

  • The Affiliate must be an active wedding photographer with an established portfolio and clientele.
  • Participation in the Program is subject to approval by the Venue.

5. Terms and Conditions

5.1 Duration of Agreement

  • This Agreement begins on the date of acceptance and remains in effect unless terminated by either party with written notice.

5.2 Exclusivity

  • The Affiliate is not required to work exclusively with the Venue but must not misrepresent or engage in fraudulent practices regarding referrals.

5.3 Termination

  • Either party may terminate this Agreement with 30 days’ written notice.
  • The Venue reserves the right to terminate the Affiliate’s participation immediately in cases of breach of Agreement, fraud, or misconduct.

5.4 Confidentiality

  • The Affiliate agrees to keep any proprietary information, including referral tracking systems or client lists, confidential.

5.5 Non-Transferability

  • This Agreement is personal to the Affiliate and cannot be transferred or assigned without prior written consent from the Venue.

6. Liability and Indemnification

  • The Venue is not responsible for any liability, loss, or damages incurred by the Affiliate in connection with this Program.
  • The Affiliate agrees to indemnify and hold the Venue harmless from any claims, damages, or expenses arising from the Affiliate’s participation in the Program.

7. Miscellaneous

7.1 Governing Law

  • This Agreement is governed by the laws of the State of Minnesota.

7.2 Amendments

  • The Venue reserves the right to amend the terms of this Agreement with 30 days’ notice to the Affiliate.

7.3 Entire Agreement

  • This Agreement constitutes the entire understanding between the parties regarding the Program and supersedes all prior agreements.

8. Acceptance

By signing below, the Affiliate acknowledges that they have read, understood, and agree to the terms outlined in this Agreement.
